OFFICIAL BY LAWS

Article I.  ORGANIZATION NAME
The name of the organization shall be The Josephine County Equestrian Coalition.    

Article II.   STATEMENT OF MISSION
The Mission of the Josephine County Equestrian Coalition (JCEC) is to represent and actively promote the interests of the equestrians of Josephine County and Southern Oregon.

Article III.  ARTICLES OF INCORPARATION 
State of Oregon Corporate registry Number 243083-97.  The JCEC shall be a non – profit organization.  In the event of the liquidation, dissolution, or termination of the JCEC, any assets and property remaining after payment of creditors and necessary expenses of liquidation, dissolution, or termination shall be distributed to an organization for a public or charitable purpose, a religious corporation, the United States, or to an organization which is recognized as exempt within the meaning of section 501(c)3 of the Internal Revenue code of 1986, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose in the manner determined by the JCEC membership.

Article IV.  MEMBERSHIP, DUES, AND MEETINGS

A.  There shall be three types of membership: Club/Organization, Business, & Individual/Family. Membership is available to any equestrian club or organization, any business, or any family or individual, who has an interest in promoting the mission of JCEC.  Organizations & Businesses upon joining shall appoint a representative to speak for their group.  All Members of member clubs may participate in all JCEC activities including General meeting.
B.  Annual dues shall be $25.00 for organizations or businesses, and $10.00 for families or individuals.  Dues are payable each year before January 1st and run from January 1st to the last day of December each year.  Members joining after September 30th are paid for the following year. Club, business and individual memberships each have one vote.    Dues must be current to maintain voting membership.   

 

Article V.  OFFICERS~BOARD  / COMMITTEES

Officers shall consist of Chair, Vice-Chair, Secretary, Treasurer, and Activities Coordinator.  Terms of office shall be for one year, and becomes effective January 1st.  Nominating Committee will present a slate of officers at the October meeting as well as nominations from the floor to be voted on at the November meeting.

Board of Directors will consist of the 5 Officers plus 2 Members at large.  The Board must meet at least 2 times a year.  A quorum being 4 members.

Primary Duties of the officers shall be as follows:

Chair: Conduct meetings, and represent the JCEC.
 
Vice Chair: Conduct meetings in absence of chair, and promote membership. Nominating Chair.
 
Secretary:  Keep minutes of the meetings, other secretarial duties as needed.
 
Treasurer:  Maintain a record of all income and expenditures and receipts, the JCEC checking account, and track and remind members of dues.  
 
Activities Coordinator:  Coordinate, manage, and keep records of volunteer labor projects.

Committees:  May be formed ad-hoc as required for special projects.

Article VI.  METHOD OF CONDUCTING MEETINGS:
Business meetings shall be conducted in accordance with Robert’s Rules of Order.  Decisions may be reached by a consensus.  Voting shall be used if a consensus cannot be reached.  

Article VII.  AMENDMENTS TO BY-LAWS
By-laws may be changed by a 2/3 vote of the JCEC membership present at a general meeting.  Any proposed changes must be in the form of a motion.      The minutes of the meetings shall reflect the by-law change.
